Appointment of a Director
Directors are appointed by the shareholders of a Company for the management of a Company. The Articles of Association must provide for the Appointment of Directors. The person appointed must be eligible as per the relevant clauses in the Articles of Association and must give his consent to act as a director in written form which the company must register with itself. To appoint a director, the person proposing to become a Director must obtain a digital signature certificate (DSC) and director identification number (DIN). DIN can be obtained for any person who is above the age of 18.

Any individual/organization can become the member of the private limited company including foreigners/NRI. However, the individual must 18+ above in terms of age and should have a valid PAN card.
A Private Limited Company must have a minimum of two Directors at all times. A public Limited Company must have a minimum of three Directors at all times.
A new Director can be added to the Board of Director by passing an ordinary resolution in an Annual General Meeting or an Extraordinary General Meeting. Ordinary resolutions can be passed by a simple majority. Once a resolution is passed, the Company must file the Resolution along with the necessary forms.

A company can intimate changes among managing director, directors, manager and secretary of a company by filing Form DIR-12 with ROC within 30 days from date of such change takes place.
Director Identification Number (DIN) is a unique identification number required for a person to become a director of a company. DIN is issued by ROC office (Ministry of Corporate Affairs).It is similar to a PAN Card number.DIN is to be mentioned in documents while appointing a person as a director of a company.
A digital signature is electronic signature, which is in the form of codes. It is used for signing the electronic forms, filed with ROC for incorporation of Company. Digital Signature cannot be used in physical documents.
